Our Opportunity:

Restaurant Brands International (“RBI”) is seeking a highly experienced and commercially driven transaction leader to join our Asia Pacific team as Director, Franchising. This role is pivotal in shaping and executing RBI’s long-term growth strategy across the region through the structuring and execution of complex franchising and capital transactions.

The Director, Franchising will lead strategic partnerships with large master franchise organizations, driving market expansion, capital solutions, and structural optimizations that strengthen brand positioning and long-term value creation. This individual will champion transactions end-to-end, from opportunity origination and strategic framing, through negotiation and due diligence, to execution of legal agreements and post-transaction oversight.

This role requires strong commercial judgment, executive presence, deep transaction expertise, and the ability to operate effectively across cultures and geographies. The successful candidate will serve as a trusted advisor to senior leadership while acting as a principal negotiator with sophisticated external counterparties.

RBI follows a 5 day, in-office work schedule to support collaboration. Candidates should be comfortable working onsite 5 days per week.

Your roles and responsibilities:

Strategic Franchising & Partnership Development

  • Define and drive the franchising and partnership strategy across Asia Pacific markets in alignment with RBI’s long-term growth ambitions.
  • Identify, evaluate, and structure opportunities including:
    • Master franchise agreements or incentive schemes
    • Territory expansions and renewals
    • Refranchising transactions
    • Joint ventures or other strategic partnerships
    • Equity investments and recapitalizations
  • Assess franchisee capital structures, governance frameworks, and growth capacity to ensure sustainable brand expansion.
  • Develop long-term partnership models that align incentives and strengthen strategic alignment between RBI and master franchisees.

 End-to-End Transaction Ownership

  • Originate, lead, and execute complex cross-border transactions from initial thesis development through closing.
  • Act as the primary deal lead and commercial negotiator with franchise partners, investors, and financial institutions.
  • Structure and negotiate commercial terms, incentive frameworks, governance provisions, and performance metrics.
  • Oversee financial modeling, returns analysis, scenario planning, and investment memoranda preparation.
  • Lead internal investment committee processes, presenting strategic rationale, financial impact, and risk assessment.
  • Coordinate due diligence across financial, legal, operational, and compliance dimensions.
  • Partner with RBI global Tax, Treasury, and Accounting teams to negotiate deal terms that maximize results for the company.
  • Partner closely with Legal to negotiate and finalize long-term franchise and shareholder agreements.

Capital Strategy & Financial Stewardship

  • Evaluate and design capital solutions to ensure franchise partners maintain sufficient liquidity to fund growth initiatives.
  • Analyze financial performance and forward-looking projections to assess investment risk and return profiles.
  • Monitor and proactively mitigate financial and structural risks within franchise partnerships.
  • Provide ongoing strategic oversight of high-impact franchise relationships post-transaction.

 Cross-Functional & Regional Leadership

  • Lead cross-functional teams spanning Finance, Legal, Operations, Development, and Marketing to deliver integrated transaction outcomes.
  • Mentor and develop the Manager of Franchising, providing guidance on financial modeling, negotiations, and strategic thinking.
  • Serve as a senior regional liaison between franchise partners and RBI leadership, ensuring alignment and transparency.
  • Influence and align senior stakeholders across multiple markets and cultural contexts.
  • Represent RBI in high-level discussions with boards, investors, and external advisors.

Your skills and experience:

  • Bachelor’s degree in Finance, Business Administration, Economics, or a related field; MBA or advanced degree strongly preferred.
  • 10–14 years of relevant professional experience in investment banking, private equity, corporate development, transaction advisory, or strategic finance.
  • Demonstrated track record of leading and closing complex transactions, preferably cross-border.
  • Experience in franchising, consumer brands, retail, QSR, or multi-unit operating businesses strongly preferred.
  • Deep expertise in:
    • Financial modeling and valuation methodologies
    • Transaction structuring and capital solutions
    • Negotiation of commercial and legal agreements
    • Due diligence and risk assessment
  • Strong understanding of governance structures and long-term partnership frameworks.
  • Proven ability to operate independently and lead high-impact initiatives in a dynamic, unstructured, and fast-paced environment.
  • Fluent in English.
  • Strategic thinker with the ability to connect market dynamics to capital and partnership strategy.
  • Confident, credible negotiator with executive presence.
  • Strong financial acumen combined with commercial pragmatism.
  • Highly analytical, yet able to communicate complex concepts clearly and persuasively.
  • Skilled at influencing senior internal and external stakeholders.
  • Resilient and adaptable in diverse and evolving Asia Pacific markets.
  • Self-directed leader who thrives in unstructured environments, able to independently drive complex initiatives from concept to execution with minimal oversight.
