Role & responsibilities

SECRETARIAL COMPLIANCE:

  • Ensure compliance of the provisions of Companies Act, 2013 and rules made thereunder and the ICSI Secretarial Standards applicable for the Company.
  • Assist Meetings (end to end) - Board, Shareholder & committee meetings - Convene the meetings, send out notices of the meeting, prepare and send out the agenda, Prepare the minutes and resolutions of the proceedings of the meetings as per the applicable provisions of the Shareholder Agreement, Companies Act and Secretarial Standards.
  • Prepare and update all the statutory registers of the Company and ensure filing of ROC returns as per the provisions of the Companies Act, 2013.
  • Prepare the Annual Report including drafting of notice of general meeting, directors report, etc.
  • Ensure all compliances relating to fund raising through private placement or rights issue in accordance with RBI regulations and provisions of Companies Act.
  • Ensuring FDI compliances are adhered to during fund raising and on an annual basis.
  • Prepare, vet and amend various Policies as per the requirements of Companies Act and RBI regulations as applicable on the Company from time to time.
  • Prepare and submit reports to shareholders as per requirements under Shareholders Agreement and various policies.

NBFC RBI COMPLIANCES:

  • Prepare all the requisite periodical returns, disclosures, undertakings, and policies in accordance with RBI guidelines as applicable on the Company.
  • Prepare /update the compliance checklist and ensure proper record keeping in both physical and digital mode.
  • Coordinate with the relevant departments to advise on resolution of their queries.
  • Assist in the periodical audits of compliance and secretarial function and to provide information/documents related to compliance and secretarial function during the statutory audit, internal audit, RBI audits, etc.

  • Stay Updated with the regulations and give regular updates to the CFO/CEO/Board on the changes applicable to the Company.
  • Prepare and implement action plan/changes required to comply with changes applicable to Company

LEGAL :

  • Draft contracts, replies, agreements and letters to third parties including regulators, vendors and business partners.
  • Liaison with external regulators/vendors as and when required.
  • Prepare non-disclosure agreements, service agreements and guarantee agreements.
  • Prepare, vet, and analyze the Shareholders agreement and ensure compliance of the same along with compliance of applicable regulations.
  • Ensure implementation of new laws or regulations, governance of existing laws and adherence to regulations.
  • Training of new hires, deliver induction sessions on policies and processes including Code of Ethics, Privacy, Anti bribery and Corruption, Prevention of Sexual Harassment at Workplace laws.
  • Advising HR on different labour law issues and drafting of various letters and documents for and on behalf of the Company addressed to employees.


Preferred candidate profile

  • Sound tertiary education in appropriate disciplines and good technical knowledge essential to understand and apply the legal, regulatory and commercial requirements of what the role involves.
  • Knowledge of good record-keeping, including maintenance of statutory registers.
  • Technical knowledge of the legal & regulatory requirements.

Exposure in the process of RBIs annual inspection.
