Secretarial Function
Key Responsibilities:
Compliances under the Companies Act, Secretarial Standards, SEBI Act, Listing Regulations etc
Preparation of Notice, Agenda and Minutes for Board Meetings, various Committee meetings and
General Meetings along with presentations.
Ensure stock exchange compliances and XBRL filings.
Ensure timely submissions of ROC (Registrar of Companies) compliances.
Coordinate and facilitate the secretarial audit process.
Prepare the Annual Report, its publication and related compliances.
Dividend Related Compliances and co-ordination with Banks and RTA for the same.
Organize and manage the AGM, EGM and Postal Ballots.
Handle grievances of Shareholders.
Manage ESOP (Employee Stock Ownership Plan) processes.
Compliances under Insider trading
Corporate Governance & Compliance
Compliance Management tool-related tasks.
Knowledge
- Companies Act, 2013;
- Listing Regulations;
- SEBI Acts etc.
