Senior M&A Manager

Hybrid or Remote| Full-Time | Atlanta, GA

About the Job

We are acquiring and transforming businesses in the AEC (Architecture, Engineering, and Construction) industry. We combine domain expertise with leading-edge technology strategy to create lasting value in the built environment.

We are seeking a Senior M&A Manager to own deal execution from diligence through close. You'll be the person who keeps deals on track—coordinating financial and legal diligence, managing relationships with lawyers and accountants, ensuring nothing falls through the cracks, and driving deals across the finish line. This role works closely with the executive team on deal strategy while owning the operational execution that makes acquisitions successful.

This is a hands-on execution role, not a strategy-only position. You'll be in the details—reviewing data rooms, tracking diligence findings, negotiating purchase agreement terms with counsel, and managing the dozens of workstreams that need to come together for a successful close. We're targeting 6-8 acquisitions annually, so you'll have plenty of opportunities to refine your craft.

Key Responsibilities

  • Own deal execution from LOI through close, serving as the central coordinator for all diligence and closing activities.

  • Lead financial diligence including quality of earnings analysis, working capital assessment, and financial model validation—working with external accounting advisors as needed.

  • Coordinate legal diligence and manage outside counsel relationships, ensuring purchase agreements, disclosure schedules, and ancillary documents are completed accurately and on time.

  • Manage the data room process, tracking diligence requests, organizing findings, and ensuring the deal team has visibility into open items and risks.

  • Develop and maintain diligence checklists, deal trackers, and closing checklists that ensure consistent execution across all transactions.

  • Identify and escalate deal risks, working with leadership to develop mitigation strategies or adjust deal terms as needed.

  • Support deal structuring discussions including cash/equity/seller note allocations, earnout structures, and working capital mechanisms.

  • Coordinate with the Integration Manager to ensure smooth handoffs from deal close to integration, including knowledge transfer of diligence findings.

  • Supervise and develop the M&A Analyst, providing guidance on financial modeling, research, and diligence support.

  • Maintain relationships with external advisors including legal counsel, accounting firms, and insurance brokers.

  • Support post-close activities including working capital true-ups, earnout calculations, and any purchase price adjustments.

Requirements

  • 6-10 years of experience in M&A execution, with direct involvement in 10+ completed transactions.

  • Bachelor's degree in Finance, Accounting, or related field; MBA or CPA a plus.

  • Strong financial analysis skills including experience with quality of earnings, working capital analysis, and deal modeling.

  • Experience coordinating legal diligence and working with outside counsel on purchase agreements and deal documentation.

  • Demonstrated ability to manage complex projects with multiple workstreams, stakeholders, and deadlines.

  • Exceptional attention to detail—you catch the things others miss.

  • Strong written and verbal communication skills, with the ability to synthesize complex information for leadership.

  • Comfort working autonomously and driving deals forward without constant oversight.

  • Experience in private equity, corporate development, or M&A advisory (investment banking, Big 4 transaction services).

  • Willingness to travel as needed for management meetings, site visits, and closings.

  • Strong bias for automation and personal workflow optimization—you're always looking for ways to streamline deal processes and eliminate manual work.

  • Experience with AI tools for productivity, specifically Claude or similar AI assistants. We use Claude extensively and expect you to leverage it daily.

Preferred Qualifications (A plus, not a requirement)

  • Experience with lower middle market transactions ($5-50M enterprise value).

  • Familiarity with the AEC (Architecture, Engineering, and Construction) industry or professional services M&A.

  • Experience with buy-and-hold investment strategies versus traditional PE fund models.

  • Background in operational diligence, not just financial and legal.

  • Experience with rep & warranty insurance processes.

  • Familiarity with earnout structures and seller financing arrangements.

What You'll Gain

  • Ownership of deal execution with direct impact on the company's growth trajectory.

  • High deal volume (6-8 annually) with variety across targets—building deep M&A expertise quickly.

  • Exposure to the full deal lifecycle in a lean environment where you see the impact of your work.

  • Close collaboration with senior leadership and visibility into strategic decision-making.

  • The opportunity to build M&A processes and infrastructure from the ground up.

  • A seat at the table in a company transforming a $10 trillion global industry.

Why Join Us

M&A here isn't about churning through deals for fund returns—we're building a portfolio of companies we intend to own and grow for the long term. That means the deals you execute matter beyond the closing dinner. You'll see the companies you help acquire transform and create real value. We're looking for someone who takes pride in execution excellence, who gets satisfaction from a clean close and a smooth transition, and who wants to be part of building something lasting.

If you're tired of being one of twenty people on a deal team and want to own outcomes, we want to meet you.
