Job Description:
We are seeking a proactive, business-minded, and detail-oriented Corporate Counsel to join our legal team at a dynamic technology company. In this role, you will be a legal partner for negotiating and managing a broad portfolio of software and technology agreements, working closely with Sales, Customer Success, Finance, and Product teams to drive deals forward while managing risk. The role requires someone experienced and with strong legal judgment with a practical, business-enabling mindset.
What will you do?
Contract Drafting & Negotiation
- Draft, review, and negotiate a high volume of commercial agreements, including SaaS subscription agreements, software licensing agreements, reseller and partner agreements, professional services agreements, and NDAs.
- Redline and respond to counterparty paper, balancing risk mitigation with commercial pragmatism.
- Develop and maintain standard contract templates, fallback positions, and playbooks.
Cross-Functional Collaboration
- Serve as a trusted legal advisor to Sales, Product, Finance, and Customer Success teams, translating complex legal concepts into clear, actionable guidance.
- Partner with Sales to support deal cycles, including participating in customer calls and negotiations where needed.
Risk Management & Compliance
- Identify and escalate legal and contractual risks, recommending practical mitigation strategies.
- Maintain awareness of relevant regulatory developments (e.g., data privacy, export controls, IP) and advise internal stakeholders accordingly.
- Support the development and implementation of legal policies and compliance frameworks.
Process & Operations
- Manage contract lifecycle processes, including maintenance of a contract management system.
- Contribute to continuous improvement of legal team workflows, templates, and self-service resources for business partners.
- Handle a diverse, fast-moving workload with strong organizational skills and attention to detail.

Qualifications
Required Experience & Education
- J.D. from an accredited law school and active bar admission in good standing.
- 7-10 years of legal experience, with significant focus on technology or software commercial agreements (in-house or law firm).
- Demonstrated experience negotiating SaaS, software licensing, and/or professional services agreements.
- Strong drafting skills with the ability to identify key risk areas and propose practical solutions.
- Excellent communication and interpersonal skills; ability to build trusted relationships with business stakeholders at all levels.
- Ability to manage multiple priorities in a fast-paced environment with minimal supervision.
Preferred Experience
- Prior in-house experience at a software or technology company.
- Familiarity with data privacy regulations (GDPR, CCPA) and their contractual implications (DPAs, SCCs).
- Exposure to intellectual property, open-source software, or AI-related contract issues.
The salary range in United States of America for this position is 124,000.00 to 156,000.00 USD Annual.
Your specific offer within this range will be determined by your skills, experience, and qualifications. For non-sales roles, you may be eligible for a bonus. For sales roles, this range includes a commission target.
