The Role
 
Palantir’s in-house legal team works to proactively address legal issues so that Palantir can continue to drive positive impact in the world. As Commercial/IP Counsel, you will be responsible for all aspects of commercial contracting, including deal structuring, and drafting, review, and negotiation of revenue generating contracts. In particular, you will be an Intellectual Property subject matter expert on the commercial contracting team, owning strategic licensing transactions, Intellectual Property components of corporate transactions, and other complex Intellectual Property transactions. You will also be integral to developing scalable infrastructure for providing legal support to Palantir's rapidly growing portfolio of commercial customers, and play a strategic role in helping Palantir achieve its goals in a time of dynamic growth. You will be responsible for all aspects of advising Palantir's product development and technical implementation teams on Intellectual Property matters including open source software management, building with in-licensed components, safeguarding and growing Palantir's Intellectual Property portfolio, and product marketing matters.

Salary
 
The estimated salary range for this position is estimated to be $135,000 - $200,000/year. Total compensation for this position may also include Restricted Stock units, sign-on bonus and other potential future incentives. Further note that total compensation for this position will be determined by each individual’s relevant qualifications, work experience, skills, and other factors. This estimate excludes the value of any potential sign-on bonus; the value of any benefits offered; and the potential future value of any long-term incentives.

Core Responsibilities

  • Lead drafting and negotiation of commercial customer contracts.
  • Intellectual Property subject matter expert in the commercial contracting team, owning drafting, negotiating, and advising on strategic licensing transactions, Intellectual Property components of corporate transactions, and other complex Intellectual Property transactions.
  • Assist in open source software management, managing safe product development with in-licensed components, safeguarding and growing Palantir's Intellectual Property portfolio, and advising on product marketing matters.
  • Support the continuous improvement of standard form agreements and legal processes.
  • Assist in defining and building infrastructure to effectively deliver legal support in a scalable manner to Palantir's rapidly expanding customer portfolio.
  • Collaborate closely with Business, Operations, Finance, and Engineering teams to shepherd deals to execution.
  • Collaborate closely with Product Development and Technical Implementation teams to facilitate the development of valuable, cutting-edge products.
  • What We Value

  • Commercial contracting or technology transactions experience, in particular high-value complex strategic licensing transactions, and intellectual property subject matter expertise. Prior experience working in-house preferred, ideally at a high-growth SaaS company.
  • Ability to manage nuanced commercial transactions, including the negotiation of SaaS and licensing agreements with our customers.
  • Ability to advise on intellectual property matters arising in the context complex and highly technical software development.
  • Ability to work independently and collaborate with a cross-functional team, using effective communication, strong writing and customer service skills.
  • Demonstrated ability developing creative and analytical solutions to novel issues, while driving a portfolio of projects with minimal direction.
  • Willingness to travel and work flexibly on a varied schedule based on the needs of the team, being available during nights and weekends as needed.
  • Interest and skill in developing scalable legal infrastructure.
  • What We Require

  • Attorney in good standing, licensed in at least one state in the United States or the United Kingdom.
  • 3-7 years of transactional legal experience.
